FolioBridge Website Terms of Use

These Terms govern access to and use of the FolioBridge web application, including school, district, portfolio, credentialing, workflow, calendar, messaging, file, Google, and Microsoft-connected features. 

1. Acceptance of the Terms of Use 

These Terms of Use are entered into by and between you, whether personally or on behalf of an entity, and Stark Educational Solutions, LLC DBA FolioBridge. These Terms of Use govern your access to and use of FolioBridge.io, the FolioBridge web application, and any content, functionality, applications, documentation, integrations, and services offered on or through FolioBridge. 

Please read these Terms of Use carefully before using FolioBridge. By using FolioBridge or by clicking to accept or agree to these Terms of Use when that option is made available to you, you accept and agree to be bound by these Terms of Use and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms of Use or the Privacy Policy, you must not access or use FolioBridge. 

If you use FolioBridge on behalf of a school, district, employer, government entity, or other organization, you represent that you have authority to bind that organization to these Terms of Use or that you are using FolioBridge under that organization’s authorization. 

2. School, District, and Organization Agreements 

FolioBridge is built for professional, educational, administrative, credentialing, portfolio, workflow, calendar, messaging, and file-management use. Schools, districts, employers, and other organizations may have separate written agreements, order forms, data processing addenda, student data privacy agreements, or other contracts with us. 

If a separate written agreement applies to your organization, that agreement may contain additional terms for data privacy, student records, security, retention, deletion, support, fees, or service administration. If there is a conflict between these Terms of Use and that written agreement, the written agreement controls for the organization and information covered by that agreement. 

3. Eligibility and Authorized Users 

FolioBridge is offered for users who are at least 18 years old or who access FolioBridge under the direction and authorization of a school, district, parent, guardian, employer, or other authorized organization. FolioBridge is intended for use in the United States and its territories or possessions unless we agree otherwise in writing. 

By using FolioBridge, you represent and warrant that you meet the eligibility requirements that apply to you, that you will use FolioBridge only as authorized, and that you will comply with all applicable laws and organization policies. 

4. Changes to the Terms of Use 

We may revise and update these Terms of Use from time to time. Changes are effective when posted unless a different effective date is stated. Any changes to dispute resolution provisions will not apply to disputes for which the parties had actual notice before the change was posted. 

Your continued use of FolioBridge after revised Terms of Use are posted means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes. 

5. Accessing FolioBridge and Account Security 

We reserve the right to withdraw, amend, suspend, or restrict FolioBridge, and any service or material we provide through FolioBridge, in our discretion. We will not be liable if all or any part of FolioBridge is unavailable at any time or for any period, subject to any separate written agreement that applies to your organization. 

  • You are responsible for making all arrangements necessary for you to access FolioBridge. 

  • You must ensure that all information you provide to FolioBridge is correct, current, and complete. 

  • You must treat your username, password, verification codes, and other security information as confidential. 

  • You must not share your account or allow another person to access FolioBridge using your credentials. 

  • You must notify us promptly of any unauthorized access to or use of your account or any other security incident. 

We may disable any username, password, or other identifier at any time if, in our opinion, you have violated these Terms of Use, an organization agreement, law, policy, or security requirement. 

6. License to Use FolioBridge 

Subject to these Terms of Use and any applicable organization agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use FolioBridge solely for authorized professional, educational, administrative, credentialing, portfolio, workflow, calendar, messaging, and file-management purposes. 

This license does not transfer any ownership interest in FolioBridge, our software, source code, documentation, workflows, designs, trademarks, trade names, service names, logos, processes, methodologies, aggregated statistics, feedback, or other intellectual property. 

7. Intellectual Property Rights 

FolioBridge and its contents, features, functionality, software, text, displays, images, video, audio, design, selection, arrangement, documentation, and related intellectual property are owned by the Company, its licensors, or other providers of that material and are protected by United States and international intellectual property and proprietary rights laws. 

  • You must not copy, modify, translate, adapt, reverse engineer, decompile, disassemble, decode, or attempt to derive or gain access to FolioBridge source code or underlying non-public technology. 

  • You must not remove, delete, alter, or obscure copyright, trademark, patent, or other proprietary rights notices from FolioBridge or related materials. 

  • You must not rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, commercially exploit, or otherwise make FolioBridge or Company intellectual property available to any third party except as expressly authorized. 

  • You may print or download a reasonable number of pages from FolioBridge for authorized internal use, provided you do not further reproduce, publish, or distribute those materials except as permitted by these Terms of Use or your organization agreement. 

8. Trademarks 

The Company name, FolioBridge name, Company logo, FolioBridge logo, and related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use those marks without our prior written permission. All other names, logos, product and service names, designs, and slogans in FolioBridge are the trademarks of their respective owners. 

9. User Data, Student Data, and Uploaded Materials 

As between you and the Company, you or your organization retain the rights you have in information, data, files, messages, student work samples, education records, credentials, certificates, portfolio materials, calendar content, submissions, and other content you submit, post, upload, transmit, or make available through FolioBridge. 

You grant the Company, its affiliates, and service providers a non-exclusive, worldwide, royalty-free license to host, use, reproduce, display, transmit, process, store, and disclose your submitted materials as necessary to provide, maintain, secure, support, troubleshoot, improve, and enforce FolioBridge, comply with law, and fulfill our obligations under these Terms of Use, the Privacy Policy, and any applicable organization agreement. 

You represent and warrant that you have all rights, permissions, authority, consents, and legal bases necessary to submit, upload, transmit, or otherwise make available any User Data, student data, education records, or third-party materials through FolioBridge. 

10. FERPA, COPPA, PPRA, and Student Privacy Compliance 

As a condition of using FolioBridge, you agree to keep student information confidential and to comply with the Family Educational Rights and Privacy Act and its regulations, the Children’s Online Privacy Protection Act, the Protection of Pupil Rights Amendment, and all other federal, state, and local student privacy, data security, records, and confidentiality laws that apply to your use of FolioBridge. 

You must not upload, disclose, or use student information, education records, or information identifying a student in FolioBridge unless you are authorized to do so and the upload, disclosure, or use is permitted by applicable law, your organization policies, and any applicable written agreement. 

If you are a school, district, or authorized educational user, you are responsible for determining whether FolioBridge is being used under a school official exception, consent, parent or guardian authorization, eligible student authorization, legitimate educational interest, or another lawful basis. We will use school-controlled student information only as described in our Privacy Policy, these Terms of Use, and any applicable written agreement. 

11. Prohibited Uses 

You may use FolioBridge only for lawful purposes and in accordance with these Terms of Use. You agree not to use FolioBridge: 

  • You may not use FolioBridge in any way that violates any applicable federal, state, local, or international law or regulation, including export, privacy, student records, intellectual property, and data security laws. 

  • You may not exploit, harm, or attempt to exploit or harm minors in any way. 

  • You may not send, knowingly receive, upload, download, use, or re-use any material that does not comply with the content standards in these Terms of Use. 

  • You may not transmit advertising or promotional material without our prior written consent, including junk mail, chain letters, spam, or similar solicitation. 

  • You may not impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity. 

  • You may not restrict or inhibit anyone’s use or enjoyment of FolioBridge, or use FolioBridge in a way that may harm the Company, users, schools, districts, students, or others. 

  • You may not disable, overburden, damage, impair, interfere with, or attempt to interfere with FolioBridge or any connected server, computer, database, network, or service. 

  • You may not use robots, spiders, scraping tools, automated processes, or manual processes to monitor, copy, or access FolioBridge for any purpose not expressly authorized. 

  • You may not introduce viruses, trojan horses, worms, logic bombs, malware, or other malicious or technologically harmful material. 

  • You may not attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of FolioBridge or any account, system, or data connected to FolioBridge. 

12. User Contributions and Content Standards 

FolioBridge may contain portals, messages, surveys, forms, file areas, comments, workflows, groups, direct messages, calendar features, and other interactive services that allow users to submit, publish, transmit, or make available content or materials. All User Contributions must comply with these Terms of Use and applicable law. 

  • User Contributions must not contain material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, discriminatory, threatening, or otherwise objectionable. 

  • User Contributions must not promote sexually explicit or pornographic material, violence, discrimination, illegal activity, or unlawful acts. 

  • User Contributions must not infringe any patent, trademark, trade secret, copyright, privacy, publicity, or other rights of any person. 

  • User Contributions must not violate legal rights of others or contain material that could give rise to civil or criminal liability. 

  • User Contributions must not be likely to deceive any person, impersonate any person, misrepresent your identity or affiliation, or falsely suggest endorsement by us or another person. 

  • User Contributions must not involve unauthorized commercial activities, contests, sweepstakes, sales promotions, barter, or advertising. 

You are responsible for any User Contributions you submit or contribute, including their legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of User Contributions posted by you or any other user. 

13. Monitoring, Enforcement, Suspension, and Termination 

We have the right, but not the obligation, to remove or refuse to post User Contributions, take action with respect to User Contributions, disclose information as permitted or required by law, suspend or terminate access, and take legal action if we believe use of FolioBridge violates these Terms of Use, applicable law, organization agreements, intellectual property rights, privacy rights, safety, or security requirements. 

We may cooperate with law enforcement authorities, court orders, government requests, schools, districts, employers, and authorized organization administrators in accordance with applicable law and agreements. You waive and hold harmless the Company, its affiliates, licensees, and service providers from claims resulting from actions taken during or as a result of investigations by us, law enforcement, or authorized organizations. 

14. Aggregated Statistics and Feedback 

We may monitor use of FolioBridge and collect or compile aggregated statistics and de-identified information related to the provision, security, performance, and operation of FolioBridge. As between you and the Company, aggregated statistics and de-identified operational information belong to the Company, provided that they do not identify you or any student and are used in accordance with applicable law and agreements. 

If you send us feedback, suggestions, comments, ideas, or recommendations about FolioBridge, you grant us the right to use that feedback without restriction, attribution, or compensation, unless a separate written agreement says otherwise. 

15. Copyright Infringement 

If you believe that any User Contribution or material available through FolioBridge violates your copyright, please notify us at the contact address below. It is our policy to terminate the user accounts of repeat infringers when appropriate. 

16. Reliance on Information Posted 

Information presented through FolioBridge is made available for general operational, educational, workflow, portfolio, credentialing, or administrative purposes. We do not warrant the accuracy, completeness, or usefulness of user-provided or third-party information. Any reliance you place on such information is at your own risk, subject to any separate written agreement that applies to your organization. 

17. Google, Microsoft, and Other Integrations 

FolioBridge may allow authorized users to connect Google, Microsoft, or other third-party services for sign-in, calendar, file, messaging, support, or other features. Your use of third-party services is also governed by the terms, privacy policies, permissions, and administrator controls of those third parties and your organization. 

You are responsible for ensuring that you have authority to connect an external account, authorize delegated permissions, select files, sync calendar information, or otherwise make third-party data available to FolioBridge. We are not responsible for third-party services, their content, their availability, their security, or their handling of information outside FolioBridge. 

18. Third-Party Materials and Links 

FolioBridge may display, include, make available, or link to third-party content, materials, software, documents, data, specifications, services, products, systems, websites, or resources. Third-party materials and links are provided for convenience only. We do not control and are not responsible for third-party materials, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, or availability. 

If you access third-party websites, resources, or services from FolioBridge, you do so entirely at your own risk and subject to the third party’s terms and conditions. 

19. Linking to FolioBridge 

You may link to our homepage in a way that is fair and legal and does not damage or take advantage of our reputation, but you must not establish a link in a way that suggests association, approval, or endorsement by us without our express written consent. We may withdraw linking permission at any time. 

20. Updates, Service Levels, and Support 

We may develop and provide updates, upgrades, bug fixes, patches, error corrections, and new features for FolioBridge. Updates may modify or delete features or functionality. We have no obligation to provide any update or continue any particular feature except as required by a separate written agreement. 

We will use commercially reasonable efforts to make FolioBridge available, but there may be planned maintenance, after-hours downtime, unexpected downtime, interruptions, delays, errors, or unavailability. Support may be requested by email at the contact address below unless a separate written agreement provides another support process. 

21. Fees and Paid Features 

If you or your organization purchases paid features, subscriptions, licenses, maintenance, implementation, or support, fees are payable as stated in the applicable order form, invoice, purchase document, or written agreement. Fees are non-refundable except as expressly stated in the applicable written agreement or required by law. 

22. Geographic Restrictions, Export Regulation, and U.S. Government Rights 

The owner of FolioBridge is based in the State of Florida in the United States. FolioBridge is provided for access and use by persons located in the United States unless we agree otherwise in writing. If you access FolioBridge from outside the United States, you are responsible for compliance with local laws. 

FolioBridge may be subject to U.S. export control laws and regulations. You must not directly or indirectly export, re-export, release, or make FolioBridge available from any jurisdiction or country where export, re-export, release, or use is prohibited by law, rule, or regulation. 

FolioBridge and related software are commercial computer software. If you are an agency of the U.S. Government or a contractor for the U.S. Government, you receive only those rights granted to all other end users under these Terms of Use and any applicable written agreement. 

23. Disclaimer of Warranties 

You understand that we cannot and do not guarantee or warrant that FolioBridge, files available through FolioBridge, external provider data, or third-party materials will be free of viruses or other destructive code. You are responsible for implementing procedures and checkpoints to satisfy your requirements for anti-virus protection, data accuracy, data reconstruction, and secure use. 

TO THE FULLEST EXTENT PROVIDED BY LAW, FOLIOBRIDGE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH FOLIOBRIDGE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, AVAILABILITY, ERROR-FREE OPERATION, UNINTERRUPTED OPERATION, CORRECTION OF DEFECTS, OR WHETHER FOLIOBRIDGE WILL MEET YOUR NEEDS OR EXPECTATIONS. 

TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE, AND FITNESS FOR PARTICULAR PURPOSE. THE FOREGOING DOES NOT AFFECT WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. 

24. Limitation on Liability 

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OWNERS, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, FOLIOBRIDGE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON FOLIOBRIDGE, OR ANY SERVICES OR ITEMS OBTAINED THROUGH FOLIOBRIDGE. 

THIS LIMITATION INCLUDES DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING PERSONAL INJURY, PROPERTY DAMAGE, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, COST OF SUBSTITUTE GOODS OR SERVICES, AND DAMAGES CAUSED BY TORT, NEGLIGENCE, BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. 

TO THE FULLEST EXTENT PROVIDED BY LAW, DIRECT DAMAGES WILL NOT EXCEED ONE TIMES THE FEES PAID BY YOU FOR YOUR INDIVIDUAL USE OF FOLIOBRIDGE IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR $100, WHICHEVER IS LESS. THE FOREGOING DOES NOT AFFECT LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. 

25. Indemnification 

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, service providers, officers, directors, employees, contractors, agents, suppliers, successors, and assigns from and against claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms of Use, your User Contributions, your User Data, your use or misuse of FolioBridge, your violation of law, your instructions to us, or your negligence or willful misconduct. 

If a separate written agreement gives you or your organization different indemnification rights or obligations, that written agreement controls for the covered services and parties. 

26. Governing Law and Jurisdiction 

All matters relating to FolioBridge and these Terms of Use, and any dispute or claim arising from or related to them, will be governed by and construed in accordance with the internal laws of the State of Florida without giving effect to any choice or conflict of law provision or rule. 

Any legal suit, action, or proceeding arising out of or related to these Terms of Use or FolioBridge must be instituted exclusively in the federal courts of the United States or the courts of the State of Florida, in each case located in Tampa or Hillsborough County, Florida, except that we retain the right to bring a suit, action, or proceeding against you for breach in your country of residence or any other relevant jurisdiction. 

27. Arbitration and Jury Trial Waiver 

At the Company’s sole discretion, we may require you to submit disputes arising from these Terms of Use or your use of FolioBridge to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Florida law. 

To the extent a dispute proceeds in court rather than arbitration, EACH PARTY WAIVES ALL RIGHTS TO TRIAL BY JURY IN ANY ACTION, SUIT, OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OF USE, FOLIOBRIDGE, OR THE RELATIONSHIP BETWEEN THE PARTIES. 

28. Limitation on Time to File Claims 

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR FOLIOBRIDGE MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, THE CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED, EXCEPT WHERE LAW REQUIRES A LONGER PERIOD. 

29. Waiver, Severability, and Entire Agreement 

No waiver by the Company of any term or condition in these Terms of Use will be deemed a further or continuing waiver of that term or condition or a waiver of any other term or condition. Any failure by the Company to assert a right or provision under these Terms of Use will not constitute a waiver of that right or provision. 

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, the provision will be eliminated or limited to the minimum extent necessary so that the remaining provisions continue in full force and effect. 

These Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and the Company with respect to FolioBridge, except for any separate written agreement that applies to your organization or purchase. They supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to FolioBridge.

31. Privacy Policy 

Use of FolioBridge is also governed by our Privacy Policy, which is incorporated into these Terms of Use by reference.
